1. Acceptance of these terms

When we sign a separate proposal, statement of work, or service agreement with you, that agreement will govern the relevant project and will take priority where there is a conflict.

2. Our services

Techstackz provides digital strategy, design, development, marketing, consulting, and related technology services. The exact scope, deliverables, timeline, fees, responsibilities, approvals, and acceptance criteria for a project will be agreed in writing before work begins.

3. Your responsibilities

You agree to provide accurate information, timely feedback, required access, content, materials, and approvals. You are responsible for ensuring that materials you provide do not infringe another person's rights and that your instructions comply with applicable laws.

4. Fees and payment

Fees, payment dates, taxes, deposits, and expenses will be set out in the applicable proposal or agreement. Unless otherwise agreed, invoices are payable by the stated due date. We may pause work or withhold delivery when undisputed invoices remain overdue.

5. Intellectual property

Each party retains ownership of materials it owned before a project. Subject to full payment and any project-specific agreement, final deliverables created specifically for you will be provided according to the agreed scope. Techstackz retains ownership of its pre-existing tools, reusable code, methods, templates, know-how, and components, and may reuse those elements in its business.

You grant Techstackz permission to use materials you provide only as necessary to deliver the agreed services. We will not publicly identify your project as client work without your permission, except where otherwise agreed.

6. Acceptable use

You must not misuse the website, interfere with its operation, attempt unauthorized access, introduce malicious code, scrape content unlawfully, or use the website for fraudulent, harmful, or illegal activity.

7. Third-party services

Projects may depend on third-party platforms, hosting providers, app stores, APIs, payment services, or other tools. Their availability, pricing, terms, and performance are controlled by those providers. We are not responsible for changes or failures caused by third-party services outside our reasonable control.

8. Warranties and disclaimers

We will perform agreed services with reasonable care and skill. Except as expressly stated in a signed agreement, the website and general information are provided on an “as available” basis. We do not guarantee that the website will always be uninterrupted, error-free, or suitable for every purpose.

9. Limitation of liability

To the extent permitted by law, Techstackz will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from website use or services. Any liability connected with a specific project will be limited as set out in the applicable written agreement.

10. Changes and termination

We may update these terms by posting a revised version. We may suspend or terminate access to the website where necessary for security, legal, or operational reasons. Project termination rights and fees will be governed by the applicable project agreement.

11. Governing law

These terms are governed by the laws applicable in the jurisdiction specified in the applicable project agreement. If no project agreement specifies a jurisdiction, the parties will work in good faith to resolve disputes through discussion before pursuing formal remedies.
